MAJOR TERMS 

主要条款

No of Years  年数 :
10年,前五年合作保障期, 第六年起若中止合作则每年支付 "x"补偿金.10 years. First 5 years no break cause. Compensation on annual fees "x" remaining years.
License Agreement  
许可协议 :
免除。品牌名由双方共同拥有 (根据合作模式)
Waived . Name is co-owned by both parties ( subject to options )
Technical Assistant Fees
技术服务费:

Management Agreement Fees

Base   根据:
2% of total revenue   总收入的2%
Incentive  奖励 :
Step Scale on GOP 分级标度 (按酒店总毛利润)

0-30% GOP = 5%       0-30% 总毛利润 = 收取5%
31- 40% = 6%             31- 40% 总毛利润 = 收取6%
Over 41% = 8%          超过41% =收取8%
全球营销费用：
Global Marketing Fees:
免除。品牌名由双方共同拥有 (根据合作模式)

Global Training Fees:
免除。品牌名由双方共同拥有 (根据合作模式)

预订费
Reservation Fees:

LOXY费用
LOXY Fees :
支付给诺仕总营收的1%  (3年)
1% of total revenue to be paid to LOXY ONLY for 3 years only

Owner's Rep.
支付资产价值1%给Z Orient 酒店＆度假村
1% of asset value to Orient Hotels & Resort.

Spa :
可由诺仕集团子公司-宝莎集团负责。费用约为成本之15%。
Can be handled by ProQsor, subsidiary company of Loxy Group. Approx.15% of cost, all expenses on ProQsor.
可由诺仕集团子公司SpaTopia负责。费用依据实际大小决定。
Can be handled by SpaTopia, subsidiary company of Loxy Group. Charges depending on size.
Asset Services
Can be handled by LOXY Asset Services, a subsidiary company of Loxy Group.
